1. Definitions

For the purposes of these Terms, the following definitions apply:

• "Platform" or "FrenckCef": the digital cephalometric analysis system accessible via web browsers, including all its features and report generation modules.
• "User": any individual or legal entity that registers and uses the Platform, whether as an orthodontic professional, student, or other authorized role.
• "Account": the personal profile created by the User upon completing the registration process.
• "Subscription Plan": the paid access plan contracted by the User to use premium features of the Platform.
• "Content": any data, image, X-ray, analysis, report, or material uploaded, generated, or stored by the User within the Platform.

2. Acceptance of Terms

Use of the Platform constitutes full and unconditional acceptance of these Terms. Acceptance is formalized by checking the corresponding box in the initial registration form. This action carries the same legal weight as an electronic signature and constitutes a binding agreement between the User and FrenckCef.

These Terms may be amended at any time. Updates will be communicated to the User via the registered email address or through a notice within the Platform. Continued use of the Platform following notification of changes will constitute acceptance of the updated Terms.

3. Registration and User Account

3.1 Account Creation

To access FrenckCef features, the User must create an Account by providing accurate, complete, and up-to-date information. The User is responsible for maintaining the confidentiality of their login credentials.

3.2 User Requirements

Access to FrenckCef is intended for:

• Licensed dental health and orthodontic professionals.
• Students of dentistry, orthodontics, or related fields.
• Academic or clinical institutions for educational or research purposes.

The User warrants that they hold the professional or academic qualifications required in their jurisdiction to interpret and use cephalometric analyses.

3.3 User Responsibilities

The User is solely responsible for:

• The accuracy of information provided during registration.
• The appropriate and ethical use of analyses generated by the Platform.
• Keeping their login credentials secure and immediately notifying FrenckCef of any unauthorized use of their Account.

4. Description of Service

FrenckCef is a digital cephalometric analysis platform that allows users to upload lateral cephalometric X-rays in digital format, select analyses according to recognized protocols, and obtain tracings, measurements, and clinical reports.

Main features include:

• Upload and processing of lateral cephalometric X-rays.
• Marking of key anatomical cephalometric landmarks.
• Tracing of reference lines and planes.
• Calculation of angles, proportions, and diagnostic parameters.
• Generation of comprehensive reports with values, tracings, and clinical suggestions.
• Access to analyses under different cephalometric protocols.

FrenckCef reserves the right to modify, expand, reduce, or discontinue features at any time, providing the User with at least 15 (fifteen) days' notice when such changes affect essential contracted features.

5. Subscription Plans and Payments

5.1 Available Plans

FrenckCef offers different access plans, which may include free versions with limited features and paid plans with access to advanced functionality. Details, pricing, and scope of each plan will be published on the Platform and may be updated periodically.

5.2 Billing

Paid plans are billed in advance according to the billing cycle chosen by the User (monthly, semi-annual, or annual). Payment is processed through the methods available on the Platform. The User authorizes recurring charges corresponding to the contracted plan.

5.3 Taxes and Additional Charges

Published prices may not include taxes, duties, or additional charges applicable in the User's jurisdiction. Such costs are the User's sole responsibility.

6. No-Refund Policy

6.1 Subscription Cancellation After Payment

If the User decides to cancel an active subscription after having made a payment, they will not be entitled to any refund, whether partial or full, of the amount paid. Access to the features of the contracted plan will remain active until the expiry date of the already-paid period, after which the account will revert to free mode or be deactivated, as applicable.

The User may not claim a refund under any of the following circumstances:

• Decision not to continue using the Platform before the paid period expires.
• Subsequent disagreement with these Terms.
• Change in the User's professional or academic needs.
• Non-use of features during the contracted period.

6.2 Account Deletion or Permanent Cancellation

If the User requests the total and permanent deletion of their Account, whether voluntarily or due to a breach of these Terms, no refund of amounts paid will be granted, regardless of the remaining time in the subscription period.

Permanent account deletion entails:

• The permanent and irreversible loss of all data, analyses, reports, and content stored by the User on the Platform.
• The immediate cancellation of all access and features associated with the deleted account.
• The termination of any rights derived from the contracted plan, with no possibility of recovery or financial compensation.

FrenckCef shall not be liable for any loss of data or access resulting from the User's voluntary cancellation of their Account.

6.3 Exception for Serious Technical Failure

The only exception to the no-refund policy applies in cases of a serious and demonstrable technical failure attributable solely to FrenckCef, which has completely prevented the User from accessing the service for a continuous period of more than 7 (seven) days during the paid period. In such case, the User must submit a formal request with documented evidence within 15 (fifteen) days following the incident. The evaluation and resolution of such request shall be at FrenckCef's sole discretion.

7. Acceptable Use of the Platform

The User agrees to use FrenckCef exclusively for its intended purposes and in compliance with applicable law. The following are expressly prohibited:

• Using the Platform for unlawful, fraudulent, or third-party rights-infringing purposes.
• Attempting to access other users' accounts, data, or systems without authorization.
• Reproducing, distributing, modifying, or commercializing FrenckCef's proprietary software, algorithms, or methodologies without express authorization.
• Uploading content that violates patient privacy rights or other third-party rights.
• Using automated means or bots to access or extract data from the Platform.
• Reverse-engineering or attempting to decompile the Platform's source code.

Breach of these obligations may result in suspension or cancellation of the Account, without prejudice to any applicable legal action.

8. Intellectual Property

All intellectual property rights in the FrenckCef Platform, including its software, cephalometric analysis methodologies, interfaces, designs, databases, trademarks, and any other element comprising it, are the exclusive property of their respective owners and are protected by applicable intellectual property laws.

Access to the Platform does not grant the User any ownership rights over the aforementioned elements. Only a personal, non-exclusive, non-transferable, and revocable license to use is granted, limited to the active subscription period and subject to compliance with these Terms.

The User retains ownership of their own content uploaded to the Platform (X-rays, patient data, etc.), but grants FrenckCef a non-exclusive license to process such content solely for the purpose of providing the contracted service.

9. Technical Nature of the Service and Clinical Liability Limitation

FrenckCef is a diagnostic support tool. The analyses, tracings, and suggestions generated by the Platform are for informational and technical reference purposes only. They do not constitute a definitive medical or clinical diagnosis, nor do they replace the professional judgment of the specialist.

The User, in their capacity as a licensed professional or student, is solely responsible for the interpretation, validation, and clinical application of the results obtained through FrenckCef. FrenckCef assumes no liability for clinical decisions made on the basis of analyses generated by the Platform.

FrenckCef does not guarantee absolute accuracy of results in all clinical cases, as analyses may be affected by the quality of uploaded X-rays or other variables beyond the Platform's control.

10. Privacy and Data Protection

The processing of the User's personal data is governed by FrenckCef's Privacy Policy, available on the Platform, which forms an integral part of these Terms.

The User is responsible for obtaining the appropriate consent from their patients for the use of their data and radiographic images within the Platform, in compliance with applicable data protection regulations in their jurisdiction.

FrenckCef implements reasonable technical and organizational measures to protect data stored on the Platform. However, the User acknowledges that no digital system offers absolute security.

11. Service Availability

FrenckCef will make its best efforts to keep the Platform continuously available. However, the service may be interrupted for maintenance, updates, force majeure, or other circumstances beyond FrenckCef's reasonable control. In such cases, FrenckCef shall not be liable for any damages or losses arising from the interruption of the service, except as provided in Section 6.3.

12. Suspension and Termination

FrenckCef may suspend or cancel the User's Account immediately, with or without prior notice, in the following cases:

• Breach of these Terms.
• Fraudulent or unlawful use of the Platform.
• Conduct that harms other users, FrenckCef, or third parties.
• Non-payment of fees corresponding to the contracted plan.
• User's express request to cancel their Account.

Suspension or cancellation for any of the above reasons will not entitle the User to any refund, as established in Section 6 of these Terms.

13. Limitation of Liability

To the fullest extent permitted by applicable law, FrenckCef shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Platform, including but not limited to: loss of data, loss of revenue, damage to professional reputation, or any other intangible loss.

FrenckCef's total liability to the User, for any reason, shall not exceed the amount actually paid by the User in the subscription period immediately preceding the event giving rise to the claim.

14. General Provisions

If any provision of these Terms is declared null, invalid, or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect.

FrenckCef's failure to exercise any right provided under these Terms shall not constitute a waiver of such right.

These Terms constitute the entire agreement between FrenckCef and the User with respect to the use of the Platform, superseding any prior agreement on the same subject matter.
